Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Vizual Stems LLC ("Vizual Stems," "we," "us," or "our"). By accessing or using vizualstems.com and related applications, studios, recording, support, and streaming services (collectively, the "Service"), you agree to these Terms and the policies incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and legally capable of entering a contract. If you use the Service for an organization, you represent that you have authority to bind it. You must provide accurate information, protect all credentials and access links, use reasonable security measures, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account unless caused solely by our breach of an applicable legal duty.

Accounts may not be sold, transferred, shared outside the authorized team, or used to evade plan limits, enforcement actions, or payment obligations.

2. Service description and third-party destinations

Vizual Stems provides browser-based tools for producing, recording, managing, and transmitting audiovisual content. Features may include guest links, layouts, overlays, chat display, recordings, clips, captions, storage, and delivery to third-party platforms through supported integrations or custom RTMP.

Third-party destinations and services are controlled by their respective providers. Their availability, rules, credentials, quality limits, moderation, and interruptions are outside our control. You are responsible for maintaining authorized destination accounts and complying with their terms. Vizual Stems does not guarantee that any third-party destination will accept, publish, retain, monetize, or display a broadcast.

3. Plans, subscriptions, and billing

Paid plans renew automatically at the disclosed billing interval until canceled. Before purchase, we will disclose the price, billing interval, recurring nature, included features, material limitations, and method of cancellation. You authorize the applicable payment provider to charge the payment method on file, including applicable taxes.

Cancellation and refund terms are stated in the Subscription and Cancellation Policy, which is incorporated into these Terms. Plan changes, trials, promotions, failed payments, taxes, and price changes are governed by the disclosures presented at checkout and that policy.

4. Your content and permissions

Ownership

As between you and Vizual Stems, you retain ownership of content you submit, upload, record, display, or transmit ("User Content").

Operational license

You grant Vizual Stems and its service providers a worldwide, nonexclusive, royalty-free license to host, cache, reproduce, encode, transcode, transmit, distribute, display, modify solely for technical formatting, and otherwise process User Content as necessary to operate, secure, improve, troubleshoot, and provide the Service according to your instructions and settings. This license ends when the content is deleted from active systems, subject to reasonable backup, legal, fraud-prevention, and security retention.

Your responsibility

You represent that you have all rights, permissions, licenses, releases, and consents needed for the User Content, including music, performances, trademarks, artwork, guests, locations, and personal information. Vizual Stems does not clear performance, synchronization, mechanical, master-use, publicity, privacy, union, venue, or broadcast rights for you.

5. Recordings, guests, and notices

You are responsible for informing guests and participants when audio, video, chat, screens, or other material will be recorded, streamed, transcribed, clipped, or redistributed, and for obtaining legally sufficient consent.

Recording and consent laws vary by location. You may not use the Service for secret or unlawful surveillance.

Recordings may fail, be incomplete, or become unavailable. You must promptly download and independently back up important recordings. Unless a plan expressly promises a retention period, storage is not archival storage and we may delete recordings according to disclosed limits, account status, legal requirements, or operational needs.

6. Prohibited conduct

You must comply with the Acceptable Use Policy and Copyright and DMCA Policy. You may not misuse the Service, interfere with security or operations, access systems without authorization, distribute malware, infringe rights, facilitate illegal activity, impersonate others, evade restrictions, scrape the Service without written permission, or use the Service to create or distribute unlawful or seriously harmful content.

7. Moderation, suspension, and termination

We may investigate, restrict, remove, preserve, or disclose content and may suspend or terminate access when reasonably necessary to enforce these Terms, respond to legal process, protect users or the public, prevent harm, address security or payment risks, or maintain the Service. When practical, we may provide notice and an opportunity to cure, but urgent action may occur without advance notice.

You may stop using the Service at any time and cancel a paid subscription as described in the Subscription and Cancellation Policy. Provisions that by their nature should survive termination—including payment obligations, ownership, licenses needed for retained backups or legal compliance, disclaimers, limitations, indemnification, and disputes—will survive.

8. Intellectual property

The Service, software, interface, documentation, designs, branding, and related technology are owned by Vizual Stems or its licensors and are protected by law. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to use the Service during your authorized subscription. No source code, ownership interest, or right to use Vizual Stems trademarks is transferred.

If you provide feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

9. Availability, changes, and beta features

We may modify, improve, discontinue, or impose limits on features. We will use commercially reasonable efforts to provide notice when a material paid feature is permanently removed, but emergency, security, legal, and third-party changes may occur immediately. Beta, preview, or experimental features may be changed or withdrawn and are provided without service commitments.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." VIZUALSTEMS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, A PARTICULAR AUDIENCE SIZE, REVENUE, STREAM QUALITY, RECORDING RESULT, DESTINATION ACCEPTANCE, OR THAT CONTENT WILL NOT BE COPIED BY OTHERS. Nothing in these Terms excludes warranties that cannot lawfully be excluded.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIZUALSTEMS AND ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, AUDIENCE, OPPORTUNITY, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID VIZUALSTEMS FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. These limitations do not apply where prohibited by law and do not limit liability that cannot legally be limited.

12. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Vizual Stems and its affiliates, officers, members, employees, and contractors from third-party claims, damages, judgments, losses, and reasonable legal fees arising from your User Content, broadcasts, violation of law or these Terms, infringement or misappropriation of rights, or misuse of the Service. We may control the defense and settlement, and you will reasonably cooperate. We will not settle a claim imposing a nonmonetary obligation on you without your consent, not to be unreasonably withheld.

13. Governing law and disputes

These Terms are governed by Connecticut law, without regard to conflict-of-law rules. Unless applicable law requires otherwise, the state and federal courts located in Connecticut will have exclusive jurisdiction, and each party consents to venue and personal jurisdiction there. Before filing a claim, the parties will attempt in good faith for 30 days to resolve it through written notice to the addresses in these Terms. This clause does not prevent either party from seeking urgent injunctive relief or using an eligible small-claims court.

No mandatory arbitration or class-action waiver is included in this draft. Connecticut counsel should decide whether those provisions are appropriate before publication.

14. General terms and contact

These Terms and incorporated policies are the entire agreement regarding the Service unless a separate signed agreement applies. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, reorganization, or sale of the business or assets.
